1. Scope and definitions

1.1 These Terms apply to all interior design services and deliverables provided by Kuiekem Studio (we, us) to the client (you).
1.2 The specific scope, deliverables, phases, timeline guidance, fees, and any deviations from these Terms are defined in a written proposal or fee offer (Proposal).
1.3 Consumer means a natural person acting for purposes outside their trade, business, or profession. Business client means any person or entity acting in the course of business.

2. Contract formation

2.1 A contract is concluded when you accept our Proposal in writing (email is sufficient) and the applicable initial payment is received.
2.2 Proposals are valid for acceptance for 14 calendar days unless stated otherwise.

3. Client cooperation duties

3.1 You provide complete and accurate project information (brief, objectives, constraints, budget range, timelines, decision-makers, access, existing drawings, measurements).
3.2 You review and approve deliverables within agreed timeframes. Delays in feedback, approvals, or access may extend timelines and create additional fees.
3.3 You ensure any required permissions are obtained (landlord approvals, permits, brand approvals), unless explicitly agreed otherwise.

4. Services and professional boundaries

4.1 We provide interior design services with reasonable care and skill.
4.2 Unless explicitly agreed, we do not provide statutory approvals, structural engineering, fire safety engineering, MEP engineering, legal advice, or contractor execution.
4.3 Where agreed in the Proposal, we may provide construction-ready documentation such as wall elevations, electrical plans, and drawings for joinery. These must be reviewed and implemented by qualified contractors. Contractors remain responsible for technical feasibility, site verification, compliance with applicable regulations, and safe installation.

4.4 If agreed in the Proposal, we may provide project management services strictly in our role as interior designer. This includes coordinating design-related decisions, supporting communication with your build team, and monitoring that the design intent is implemented as specified. We do not assume the role of architect, general contractor, site supervisor, or construction manager and we are not responsible for the technical execution, workmanship, construction methods, site safety, or regulatory compliance. These responsibilities remain with your appointed contractors and specialists.

5. Design process, approvals, and revisions

5.1 We request approvals at defined checkpoints. Approvals must be given in writing (email, whatsapp also accepted).
5.2 Unless stated otherwise, up to two revision rounds are included for the selected design direction.
5.3 Additional revisions, changes after approval, changes to the brief, or additional deliverables are billed at the hourly rate. We will inform you before hourly billing begins and share a time log for full transparency.
5.4 Visuals (moodboards, 3D images, sketches) are illustrative. Colour appearance may differ due to screen calibration, lighting conditions, and product batches. Availability and lead times can change.

6. Measurements and site conditions

6.1 Unless we have performed a measured survey and explicitly confirmed responsibility for measurements in the Proposal, you remain responsible for providing accurate measurements.
6.2 Your contractor must verify all dimensions on site before ordering, manufacturing, or installation. We are not liable for errors resulting from incorrect measurements provided by you or third parties.

7. Timelines

7.1 Timelines are guidance only unless explicitly agreed as binding in writing.
7.2 Timelines may shift due to approvals, supplier lead times, contractor availability, site access, and other circumstances outside our control.

8. Procurement, suppliers, and ordering models

8.1 We may recommend suppliers, products, and service providers. Unless agreed otherwise, any purchase contract is between you and the supplier under the supplier’s terms.
8.2 Depending on the project, one of the following models applies (confirmed in writing early in the process):
a) Client-direct purchasing: you place orders and pay suppliers directly.
b) Studio ordering: we order on your behalf and re-invoice you as agreed. The ordering process, payment timing, delivery responsibilities, and any handling fees (if applicable) are set out in the Proposal.
8.3 We consider availability and lead times during selection to respect your timeline. However, supplier delays, discontinuations, price changes, and logistics issues are outside our control.
8.4 We are not responsible for supplier performance, defects, warranty handling, replacements, returns, freight claims, or delivery damage, except where mandatory law applies.
8.5 Discounts and commissions: We may receive trade discounts or commissions from suppliers. Unless otherwise agreed in writing, we may retain them. In some cases, we may pass discounts to you. This will be clarified early in the project.
8.6 No ordering without sign-off: Final selections and budgets must be approved by you in writing before ordering begins.

9. Meetings and site visits

9.1 Included meetings and site visits are defined in the Proposal. Additional visits are billed at the hourly rate plus travel costs.
9.2 Rescheduling: Meetings and site visits require at least 48 hours notice to reschedule. If notice is shorter, we may charge for costs incurred.

10. Hourly services and rate

10.1 Hourly rate: 80 EUR per hour, VAT included, unless stated otherwise in the Proposal.
10.2 Hourly billing may apply to: additional revisions, scope changes, additional meetings or calls beyond included allowances, additional site visits, extra contractor coordination beyond agreed scope, updates after approvals, and procurement support beyond agreed scope.
10.3 We maintain a time log and share it with you for transparency. Time is billed in 15-minute increments.

11. Travel costs (standard approach)

11.1 Travel by car is charged at 0.50 EUR per km (round trip), VAT included.
11.2 Travel time is billed at 80 EUR per hour (15-minute increments), VAT included.
11.3 Any special travel (parking, tolls, trains, flights, accommodation) is billed at cost if agreed in advance.

12. Fees and payment terms

12.1 VAT is included in all stated fees unless explicitly stated otherwise.
12.2 Projects under 1,000 EUR: 100% payment is due upfront before work begins.
12.3 Other projects, unless the Proposal states otherwise:
a) 20% initial payment due upon acceptance to reserve project capacity
b) 30% due before project start
c) 30% due before 3D deliverables are issued
d) 20% due before completion and handover of final deliverables for the agreed phase
12.4 Invoices are due within 7 calendar days unless stated otherwise.
12.5 We may pause work and withhold deliverables if payments are overdue.
12.6 For business clients, we may charge the statutory 40 EUR late payment flat fee if applicable, and statutory default interest.

13. Cancellation and termination

13.1 Business clients

Business clients may cancel with 14 days written notice. We invoice work completed up to the cancellation date plus any non-cancellable commitments already made.

13.2 Consumers outside the withdrawal period

After the withdrawal period has expired, consumers may cancel with 14 days written notice. We invoice work completed up to the cancellation date plus any non-cancellable commitments already made.

13.3 Termination for cause

Either party may terminate for material breach after written notice and a reasonable cure period. Non-payment is a material breach.

13.4 Project pauses

If the project is paused or postponed for 6 months or more through no fault of our own, we may review fees and timelines and issue an updated proposal.

14. E-design services (if booked)

14.1 E-design is a remote design service. Deliverables are defined in the Proposal and are design guidance, not contractor execution.
14.2 Two revision rounds are included unless stated otherwise. Additional revisions are billed hourly.
14.3 We cannot guarantee product pricing or availability.
14.4 You remain responsible for measurements and contractor verification prior to ordering or installation.

15. Consumer right of withdrawal (B2C only)

15.1 If you are a consumer and the contract is concluded as a distance contract or off-premises contract, you have the right to withdraw within 14 days without giving reasons.
15.2 Withdrawal period starts on the day the contract is concluded.
15.3 To withdraw, you must inform us by email or letter with a clear statement of your decision.
15.4 If you withdraw, we refund payments received within 14 days from receiving your withdrawal notice, using the same payment method unless agreed otherwise.

15.5 Starting services during the withdrawal period
You stated you generally do not start work before the 14 days expire. If you exceptionally request that we start earlier, you must explicitly confirm this in writing. If services start during the withdrawal period and you withdraw later, you owe proportionate payment for services performed up to withdrawal. If services are fully performed within the withdrawal period after your express request, the right of withdrawal may be lost.

16. Intellectual property and usage rights

16.1 All designs, drawings, documents, and content created by us remain our intellectual property.
16.2 After full payment, you receive a non-exclusive right to use the final deliverables for the agreed project purpose and location. Drafts may not be used without written permission.
16.3 Editable source files (CAD, editable 3D) are provided only if explicitly agreed and may incur additional fees.

17. Portfolio and marketing

17.1 We may photograph or document the project and use it for portfolio, website, and social media unless you object in writing before project start.
17.2 We will not publish confidential business information without your consent.

18. Liability

18.1 We are liable without limitation for intent, gross negligence, injury to life, body, or health, and where mandatory statutory liability applies.
18.2 In cases of simple negligence, our liability is limited to foreseeable damages typical for the contract. For business clients, liability is capped at the total fees paid under the contract, unless mandatory law requires otherwise.
18.3 We are not liable for defects, delays, or damages caused by contractors, suppliers, or third parties outside our control, or where we relied on incorrect information provided by you or third parties.

18.4 Where we provide design-focused project management or implementation support, we are not liable for defects, delays, or damages resulting from contractor workmanship, technical errors, improper installation, deviations from specifications, or failures to comply with applicable regulations. Liability for execution remains with the contractor or responsible specialist, except where mandatory law provides otherwise.

19. Complaints

Please send complaints in writing to hello@kuiekemstudio.com. We respond within 14 days.

20. Governing law and jurisdiction

20.1 German law applies.
20.2 For business clients, jurisdiction is Taunusstein, Germany. For consumers, statutory jurisdiction rules apply.
